AGREEMENT BETWEEN USER AND COGNYTE
The Cognyte Web Site is comprised of various Web pages operated by Cognyte.
The Cognyte Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein.
BY CLICKING “I AGREE”, CHECKING THE ACCEPTANCE BOX, OR OTHERWISE ACCESSING OR USING THE COGNYTE WEB SITE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
If you do not agree to these Terms, you must not click “I Agree” and must not access or use the Cognyte Web Site.
MODIFICATION OF THESE TERMS OF USE
Cognyte reserves the right to change the terms, conditions, and notices under which the Cognyte Web Site is offered, including but not limited to the charges associated with the use of the Cognyte Web Site.
ELIGIBILITY, REGISTRATION, AND AUTHORITY
Access to the Cognyte Web Site is limited to Partners approved by Cognyte.
If you are acting on behalf of a legal entity, you represent and warrant that you have full authority to bind such entity to these Terms.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account. Cognyte shall not be liable for any misuse or unauthorized use of the website.
LINKS TO THIRD PARTY SITES
The Cognyte Web Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of Cognyte and Cognyte is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Cognyte is not responsible for webcasting or any other form of transmission received from any Linked Site. Cognyte is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Cognyte of the site or any association with its operators.
NO UNLAWFUL OR PROHIBITED USE
The Cognyte web site may only be used for Cognyte-related business and not for any other purpose, No competitive use is permitted. As a condition of your use of the Cognyte Web Site, you warrant to Cognyte that you will not use the Cognyte Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Cognyte Web Site in any manner which could damage, disable, overburden, or impair the Cognyte Web Site or interfere with any other party's use and enjoyment of the Cognyte Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Cognyte Web Sites.

Cognyte has no obligation to monitor the Communication Services. However, Cognyte reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. Cognyte reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
Cognyte reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Cognyte's sole discretion.
Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. Cognyte does not control or endorse the content, messages or information found in any Communication Service and, therefore, Cognyte specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized Cognyte spokespersons, and their views do not necessarily reflect those of Cognyte.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.
SUBMISSION OF LEADS AND REGISTRATION OF OPPORTUNITIES
As part of the Cognyte Web Site, you may submit to the Web Site leads for potential transactions (“Leads”).
All Leads submitted through the website are subject to Cognyte’s sole discretion, review, and approval. A Lead shall be approved and designated as an “Registered Opportunity” only upon receiving Cognyte’s explicit approval.
Cognyte shall have no obligation to review, approve, pursue, or act upon any Lead, and may reject any Lead for any reason, including but not limited to commercial, legal, regulatory, or compliance considerations.
Submission of a Lead does not create any binding obligation, partnership, agency, or entitlement to compensation unless explicitly agreed in writing by Cognyte.
Approval of an Registered Opportunity, if granted, may be subject to additional terms, agreements, or conditions, including commercial or contractual arrangements.
CONFIDENTIALITY
During your use of the Cognyte Web Site, you may access confidential or proprietary information of Cognyte (“Confidential Information”), including Leads, Opportunities, product data, marketing materials, and business information.
You agree to keep all Confidential Information strictly confidential and to use it only for purposes related to your partnership with Cognyte.
You may not share Confidential Information with any third party, except with your employees who need it to perform their duties and who are bound by confidentiality obligations.
Confidential Information does not include information that is publicly available, already known to you without obligation of confidentiality, or lawfully received from a third party.
The confidentiality obligations survive termination of your access to Cognyte Web Site.
LIABILITY DISCLAIMER
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE COGNYTE WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. COGNYTE MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE COGNYTE WEB SITE AT ANY TIME. All materials made available through the Cognyte Web Site, including marketing materials, product information, documentation, software interfaces, trademarks, logos, and other content (“Content”), are owned by or licensed to Cognyte.
The Content is provided solely for your internal business use in connection with the promotion and sale of Cognyte’s products or Services.
You may not copy, modify, distribute, disclose, or otherwise use the Content for any other purpose without Cognyte’s prior written consent.
Cognyte may modify, update, or remove Content at any time, at its sole discretion.
MATERIALS PROVIDED TO COGNYTE OR POSTED AT ANY COGNYTE WEB SITE
Cognyte does not claim ownership of the materials you provide to Cognyte (including feedback and suggestions) or post, upload, input or submit to any Cognyte Web Site or its associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your Submission you are granting Cognyte, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

TERMINATION/ACCESS RESTRICTION
Cognyte reserves the right, in its sole discretion, to suspend or terminate your access to the Cognyte Web Site and the related services or any portion thereof at any time, without notice.
GENERAL
This agreement is governed by the laws of the State of Israel and you hereby consent to the exclusive jurisdiction and venue of courts in Tel Aviv, Israel in all disputes arising out of or relating to the use of the Cognyte Web Site. Use of the Cognyte Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
The use of the website is subject at all times to compliance with all applicable export control laws and regulations.
This agreement does not replace or amend any separate written agreement between the user and Cognyte. For the avoidance of doubt, the Commercial Agreement and NDA you have signed with Cognyte remain in full force and effect, and nothing in This agreement shall be construed as modifying them. Furthermore, any use of the Cognyte web site is also subject to the terms of the Commercial Agreement and the NDA. In the event of any conflict or inconsistency between this agreement and any such separate agreement, the more stringent provisions shall prevail.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Cognyte as a result of this agreement or use of the Cognyte Web Site.
Cognyte's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Cognyte's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Cognyte Web Site or information provided to or gathered by Cognyte with respect to such use.
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.
